01 Acceptance of terms

These Terms & Conditions ("Terms") form a binding agreement between you, whether acting for yourself or on behalf of an entity ("you", "Customer", "Subscriber"), and TickDataFeed ("we", "us", "TickDataFeed", the "Provider") governing your access to and use of the tick-data feeds, files, application programming interfaces, websites and related materials we make available (together, the "Service").

By accessing the Service, downloading any data file, connecting to any feed or API, completing a purchase, or otherwise indicating acceptance, you confirm that you have read, understood and agree to be bound by these Terms and by any order form, plan description or licence summary provided to you. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.

02 Definitions

• "Data" means any market data made available through the Service, including tick, trade, quote, order-book depth, reference and derived data, in any format.
• "Forward Testing" means running a trading algorithm against live or delayed market data without transmitting any order to any broker, exchange, venue or counterparty, for the purpose of evaluating the algorithm's behaviour.
• "Backtesting" means evaluating a trading algorithm against historical Data.
• "Live Trading" means the transmission of any order — real-money or otherwise — to a broker, exchange, matching engine or counterparty for potential execution.
• "Virtual Trading" means any simulated, demo, "paper" or contest-style trading experience, including any such experience offered, resold or exposed to any third party.
• "Venue" means any exchange, market, liquidity provider or data source from which Data originates, including without limitation NSE, BSE, MCX, international equity exchanges, interbank FX sources and cryptocurrency exchanges.
• "Subscription" means the plan, term and venue selection set out in your order.

03 Nature of the service

TickDataFeed is a data provider only. We are not a stock exchange, broker, dealer, sub-broker, depository participant, portfolio manager, investment adviser, research analyst, clearing member or trading platform, and nothing in the Service should be construed as any of those.

We do not route, place, match, clear or settle orders. We do not hold client funds or securities. We do not offer, and the Service does not constitute, an execution venue or a trading system. The Data describes market activity; it does not enable you to transact, and we provide no mechanism to do so.

04 Permitted use

Subject to your Subscription and these Terms, you may use the Data solely for the following internal purposes:

• Research into market microstructure, strategy ideas and quantitative models;
• Backtesting of trading algorithms against historical Data;
• Forward testing of trading algorithms against live or delayed Data, provided that no order of any kind is transmitted to any broker, exchange or venue;
• Development, debugging and internal validation of your own analytics, tools and models;
• Internal reporting and academic study, where permitted by your plan.

All permitted use is for your own internal purposes only. The number of individual users, seats or environments permitted is limited to that stated in your order.

05 Prohibited uses

You must not, and must not permit or enable any other person to:

• Use the Data, directly or indirectly, to place, route, inform in real time, or otherwise support Live Trading or the execution of any real-money or live order;
• Use the Data to build, power, operate or feed any Virtual Trading, paper-trading, demo-trading, trading-contest, "copy trading", signal-selling or simulated-trading product, service or experience that is made available to any third party;
• Use the Data for, or in connection with, any unlawful, fraudulent or manipulative activity, including market manipulation, insider dealing, spoofing, front-running, money laundering, or any activity that violates the rules of any Venue or any applicable law or regulation;
• Provide investment advice, tips, recommendations, buy/sell calls or portfolio management to any third party using the Data;
• Resell, redistribute, sublicense, publish, broadcast, display publicly, or otherwise make the Data (in whole, in part, or in derived form that reconstitutes the underlying values) available to any third party;
• Scrape, harvest, or extract Data beyond the scope of your Subscription, or exceed agreed rate limits or seat counts;
• Reverse engineer, decompile or attempt to derive the source, capture methodology or infrastructure of the Service, except to the limited extent such restriction is prohibited by law;
• Remove, obscure or alter any proprietary notice, watermark, identifier or checksum attached to the Data;
• Share, sell or transfer your credentials, or allow access by anyone other than the authorised users named in your order;
• Use the Data in any manner that infringes the intellectual property or contractual rights of any Venue or third party.

06 Licence grant & scope

Conditioned on your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Data for the Permitted Uses during the term of your Subscription. This licence is personal to you (or your licensed entity and its named users) and confers no ownership.

All rights not expressly granted are reserved by TickDataFeed and, where applicable, by the originating Venues. The licence terminates automatically on expiry or termination of your Subscription, upon which you must cease use and, on request, delete or return the Data except where retention is required by law.

07 No investment advice

The Data and the Service are provided for informational and research purposes only and do not constitute investment, financial, legal, tax or trading advice, a recommendation, an offer, or a solicitation to buy or sell any security, commodity, currency, crypto-asset or other instrument. TickDataFeed does not act as your adviser and expresses no view on the merits of any instrument or strategy.

Any decision you make in reliance on the Data is your own, taken at your sole risk. You should obtain independent professional advice before making any financial decision.

08 Data accuracy — provided "as is"

We take substantial care to capture Data completely and accurately, including redundant capture, sequence validation and reconciliation. Nevertheless, market data is inherently subject to Venue outages, feed errors, restatements, latency, and other imperfections outside our control.

The Data is therefore provided on an "as is" and "as available" basis. We do not warrant that the Data is complete, accurate, timely, uninterrupted, error-free, or fit for any particular purpose, and we do not guarantee any specific level of availability, latency or throughput except as expressly stated in a written service-level agreement, if any.

09 Disclaimer of warranties

To the maximum extent permitted by applicable law, TickDataFeed and its suppliers and Venues disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement. No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms.

10 Limitation of liability

To the maximum extent permitted by applicable law, in no event will TickDataFeed, its officers, employees, suppliers or Venues be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, trading losses, data, goodwill or business opportunity, arising out of or in connection with the Data or the Service, whether based on contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of such damages.

Without limiting the above, TickDataFeed shall have no liability whatsoever for any trading, investment or financial loss incurred by you or any third party, howsoever arising, including any loss connected to reliance on the Data.

Our aggregate liability arising out of or relating to these Terms and the Service, for all claims in aggregate, shall not exceed the total fees actually paid by you to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

11 Assumption of trading risk

Trading and investing in securities, commodities, currencies and crypto-assets involves substantial risk of loss and is not suitable for every person. Past performance and backtested or forward-tested results are hypothetical, do not represent actual trading, and are not indicative of future results. You acknowledge and accept that any use you make of the Data, and any strategy you develop or deploy, is entirely at your own risk and responsibility.

12 Intellectual property & Venue rights

The Service, including its software, schema, documentation, branding, logos and the compilation and arrangement of the Data, is owned by TickDataFeed and protected by intellectual-property laws. Underlying market data may additionally be subject to the proprietary rights and usage rules of the originating Venues.

You obtain no ownership of the Data or the Service. You are responsible for ensuring your use complies with any Venue terms applicable to the markets you subscribe to, and you agree that Venues may be third-party beneficiaries of the restrictions in these Terms to the extent their data is involved.

13 Redistribution restrictions

The Data is licensed for your internal use only. You may not redistribute, resell, sublicense, syndicate, publish, or otherwise transfer the Data or any substantial or derived part of it to any third party, whether for consideration or free of charge. Derived outputs that would allow a third party to reconstruct the underlying tick values are treated as redistribution of the Data and are prohibited. Genuinely transformative research outputs that do not disclose or reconstitute the underlying Data are permitted, provided they are not used for any Prohibited Use.

14 Accounts & credentials

You are responsible for maintaining the confidentiality of any credentials, API keys or tokens issued to you, and for all activity that occurs under them. You must notify us promptly of any suspected unauthorised use. We may rotate or revoke credentials where we reasonably suspect compromise or breach of these Terms.

15 Fees, billing & taxes

Fees are as stated in your order or plan and are quoted in Indian Rupees (INR) unless otherwise agreed. Subscriptions are billed monthly in advance unless a different term is agreed in writing. Fees are exclusive of applicable taxes, including GST, which you are responsible for paying.

Except where required by law or expressly agreed, fees are non-refundable, including where a Subscription is terminated for your breach. We may revise pricing on renewal with prior notice. Late payment may result in suspension of access.

16 Suspension & termination

We may suspend or terminate your access immediately, without refund, if you breach these Terms — in particular any Prohibited Use — or if required to do so by a Venue, regulator or applicable law. Either party may terminate a Subscription at the end of its then-current term by notice. On termination, your licence ends, you must cease use of the Data, and Sections that by their nature should survive (including those on liability, IP, indemnity and governing law) will survive.

17 Compliance with laws

You are solely responsible for ensuring that your access to and use of the Data complies with all laws, regulations and Venue rules applicable to you and to the markets you subscribe to, including securities, commodities, exchange-control, data-protection, sanctions and anti-money-laundering laws. TickDataFeed provides data only and does not offer any regulated activity; nothing in the Service is a substitute for obtaining any registration, authorisation or approval that may apply to your own activities.

18 Confidentiality

Each party may receive information of the other that is confidential. The receiving party will use such information only to perform under these Terms, protect it with reasonable care, and not disclose it except to those who need to know and are bound by similar obligations, or as required by law. Pricing, non-public features and delivery details of the Service are our Confidential Information.

19 Indemnification

You agree to indemnify, defend and hold harmless TickDataFeed, its affiliates, officers, employees, suppliers and Venues from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your use of the Data, your breach of these Terms, your violation of any law or Venue rule, or any Prohibited Use by you or anyone using your credentials.

20 Changes to these terms

We may update these Terms from time to time. Material changes will be notified by posting the revised Terms with a new "last updated" date and, where practical, by direct notice. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to a change, you must stop using the Service.

21 Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any applicable arbitration agreement, the courts at Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

22 Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including Venue outages, telecommunications or internet failures, power outages, acts of government or regulators, natural disasters, or other events of force majeure.
